Terms and Conditions

Key policies and guidelines for using our website effectively and safely.

These Terms of Service (“Terms”) govern access to and use of services provided by TalkLuna Technologies Corporation, a corporation incorporated under the laws of Ontario, Canada (“TalkLuna,” “Company,” “we,” “us,” or “our”).

By accessing or using the TalkLuna platform (“Platform” or “Services”), you agree to be bound by these Terms.


1. Description of Services

TalkLuna provides AI-powered communication tools that enable businesses to:

  • Handle inbound voice calls

  • Conduct outbound voice campaigns

  • Send and receive SMS/MMS messages

  • Automate lead capture and qualification

  • Integrate with CRM and third-party systems

TalkLuna provides technology infrastructure only. We do not guarantee:

  • Message or call delivery

  • Carrier approval

  • Regulatory compliance outcomes

  • Business performance results


2. Eligibility

You represent and warrant that:

  • You are at least 18 years of age.

  • You are authorized to bind the business you represent.

  • All information provided is accurate and complete.


You are solely responsible for:

  • The content of communications sent through the Platform

  • Ensuring lawful use of voice and messaging services

  • Obtaining proper consent from recipients

  • Maintaining verifiable records of consent

  • Compliance with all applicable laws

Including but not limited to:

  • Telephone Consumer Protection Act (TCPA – U.S.)

  • CAN-SPAM Act (U.S.)

  • Canada’s Anti-Spam Legislation (CASL)

  • National and State/Provincial Do Not Call (DNC) regulations

  • GDPR (if applicable)

  • Local telemarketing or consumer protection laws

TalkLuna does not provide legal advice.


4. SMS & Messaging Compliance (A2P 10DLC & Carrier Requirements)

If you use TalkLuna for SMS/MMS messaging:

You represent and warrant that:

  1. You have obtained prior express consent (or express written consent where required).

  2. You maintain documented proof of opt-in.

  3. Your opt-in disclosures clearly state:

    • Message frequency

    • That message and data rates may apply

    • How to opt out

    • How to request help

Required Opt-Out Support

Your messaging must support:

  • STOP, CANCEL, UNSUBSCRIBE → opt-out

  • HELP → customer assistance

Example compliant language:

“Msg & data rates may apply. Reply STOP to unsubscribe. Reply HELP for help.”

TalkLuna may suspend accounts that create carrier or compliance risk.


5. Outbound Campaigns & Automated Calling

TalkLuna provides automation tools for outbound voice and SMS campaigns.

You are solely responsible for:

  • Scrubbing contact lists against DNC registries

  • Respecting time-of-day restrictions

  • Determining whether consent covers automated systems

  • Classifying communications correctly (transactional vs marketing)

  • Compliance with telemarketing laws

TalkLuna does not verify the legality of your campaigns.

TalkLuna shall not be liable for:

  • Regulatory fines

  • Carrier penalties

  • Blacklisting or filtering

  • Legal claims arising from your communications

You agree to indemnify TalkLuna against claims arising from your campaigns.


6. Communications from TalkLuna

By creating an account, you consent to receive communications from TalkLuna related to:

  • Account notifications

  • Billing alerts

  • Security notifications

  • Service updates

  • AI call summaries

  • Support responses

  • Product updates

These may be delivered via:

  • Email

  • SMS

  • Voice calls

  • In-app notifications

Service Communications

Service-related communications are considered transactional and may be sent even if you opt out of marketing messages.

Marketing Communications

Where required by law, TalkLuna will obtain consent before sending promotional communications.

You may opt out of marketing messages by:

  • Clicking unsubscribe links

  • Replying STOP to SMS

  • Contacting support@talkluna.com

Message and data rates may apply.


7. Acceptable Use

You may not use the Platform to:

  • Send unsolicited spam

  • Engage in deceptive or fraudulent messaging

  • Harass recipients

  • Promote illegal products/services

  • Circumvent carrier safeguards

We reserve the right to suspend accounts posing compliance risk.


8. Third-Party Providers

TalkLuna relies on third-party providers including:

  • Twilio (telephony & messaging)

  • Cloud infrastructure providers

  • AI providers

  • Payment processors

We are not responsible for service disruptions caused by third parties.


9. Data Ownership

Customers retain ownership of their business and end-user data.

TalkLuna acts as a technology provider and processor for communications conducted through the Platform.


10. Fees & Billing

  • Fees are billed in advance.

  • Mid-cycle cancellations are not prorated.

  • Service continues through the billing period.

  • Non-payment may result in suspension.


11. Limitation of Liability

To the maximum extent permitted by law:

TalkLuna’s total liability shall not exceed fees paid in the preceding three (3) months.

We are not liable for:

  • Indirect or consequential damages

  • Lost revenue or profits

  • Regulatory penalties

  • Carrier filtering

  • Campaign performance


12. Indemnification

You agree to defend and indemnify TalkLuna Technologies Corporation and its officers, directors, employees, and agents from claims arising out of:

  • Your violation of law

  • Your failure to obtain consent

  • Your messaging or calling campaigns

  • Your misuse of the Platform


13. Termination

We may suspend or terminate accounts for:

  • Legal or compliance risk

  • Fraudulent activity

  • Violation of these Terms

  • Carrier enforcement action


14. Governing Law

These Terms are governed by the laws of Ontario, Canada.


15. Changes

We may update these Terms periodically. Continued use constitutes acceptance.


16. Messaging Program Terms

16.1. Program Description

TalkLuna Technologies Corporation provides AI-powered communication services that allow businesses to send automated SMS, MMS, and voice communications to their customers using the TalkLuna platform.

Messaging may occur in two ways:

Messages from TalkLuna to Platform Customers

TalkLuna may send SMS or voice communications to businesses using the platform regarding:

  • Account notifications

  • Billing alerts

  • Security notifications

  • Service updates

  • Product announcements

  • Customer support communications

Messages from Businesses to End Users via TalkLuna

Businesses using the TalkLuna platform may send SMS messages to their customers, leads, or contacts (“End Users”) for purposes including but not limited to:

  • Appointment confirmations and reminders

  • Lead follow-ups

  • Service notifications

  • Booking links or scheduling information

  • Customer support responses

  • Billing alerts or account notifications

TalkLuna acts as a technology platform provider that enables businesses to communicate with their customers. Messages sent to End Users originate from the business using the TalkLuna platform.

Message frequency varies depending on the interaction between the business and the End User.


By providing your phone number to a business that uses the TalkLuna platform, you consent to receive SMS messages from that business related to customer service, appointments, service updates, or other communications related to your interaction with that business.

Consent is provided to the business, not directly to TalkLuna.

TalkLuna processes messaging on behalf of businesses using the platform.

SMS consent is not a condition of purchasing goods or services.


16.3. Cancellation / Opt-Out

You can cancel the SMS service at any time by replying STOP, CANCEL or UNSUBSCRIBE to the number from which you received the message.

After you send the message STOP, CANCEL or UNSUBSCRIBE, you will receive a confirmation SMS indicating that you have been unsubscribed.

After this, you will no longer receive SMS messages through the TalkLuna platform unless you opt in again.

To rejoin, you may opt in again through the business you originally interacted with.


16.4. Help Instructions

If you are experiencing issues with the messaging program, you can reply with the keyword HELP for assistance.

16.5. Message & Data Rates

Message and data rates may apply for any messages sent to you from us or from businesses using the TalkLuna platform.

Message frequency varies depending on the nature of your interaction with the business and the services you request.

For questions about your messaging or data plan, please contact your wireless provider.


16.6. Carrier Disclaimer

Mobile carriers are not liable for delayed or undelivered messages.

Messaging services may not be available on all carriers or mobile devices.


16.7. Privacy

TalkLuna respects your privacy.

Phone numbers and messaging data are processed solely to facilitate communications between businesses and their customers.

TalkLuna does not sell, rent, or share SMS opt-in consent or phone numbers with third parties or affiliates for marketing purposes. Mobile information will not be shared with third parties or affiliates for marketing or promotional purposes.
